Item 5.03.		Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On April 25, 2006, the Board of Directors of 大象传媒 Corporation (“大象传媒”) amended Sections 2 and 3 of Article II and Sections 7 and 8 of Article V of the By-Laws of 大象传媒. The amendments increase the mandatory retirement age of directors from 70 to 72 and provide that the directors shall be elected to terms that expire “no later than”, rather than “at”, the third subsequent meeting of shareholders at which directors are elected. The amendments further specify that the Chairman of the Board of Directors shall be the chief executive officer of 大象传媒 and that the President shall be the chief operating officer of 大象传媒.
